                            Minutes of Closed Board Meeting
                                 Cormorant Town Hall
                                     March 22, 2003



The meeting was called to order by President Lund at 8:30 a.m.

Directors present in person were:  Horvick, Poolman, Majkrzak, Manuel,
and Lund.  Present by telephone link were: Crothers, Meidinger, and
MacLeod.  John Kolb also present via conference telephone.

The purpose of the meeting was to discuss the status of the pending
litigation by Mr. Noah and Mr. Toussaint.
Mr. Kolb indicated there is no current agreeable settlement and that
responses for  Discovery have been sent forward.  A conference is
scheduled in the District Court, Fergus Falls, Minnesota at 11:30 March
24, 2003.  Mr. Kolb will appear on behalf of the PGOLID defendants. 

The PGOLID defendants appear ready to name a three member ad hoc
committee to represent them to the Court in order to expedite resolution
of this litigation.  If needed, Crothers, Manuel, and Lund will serve on this
committee. 

Mr. Kolb responded to questions of the board members present and by
teleconference.

The meeting was adjourned 9:45 a.m. by President Lund.
